GENERAL TERMS & CONDITIONS OF THE SUBSCRIPTION LEASING AGREEMENT FOR GOLDBELL CAR RENTAL PTE LTD’S VEHICLES (“TERMS AND CONDITIONS”)
These Terms and Conditions, together with the Subscription Leasing Agreement and the GBCR Privacy Policy collectively form the GBCR Contract (the “Contract”) between you and GOLDBELL CAR RENTAL PTE LTD (“GBCR”) and set out parties’ respective rights and obligations.
GBCR permits you to use their websites, technology software platform and mobile phone applications and all updates, upgrades, or new versions thereof.
BY SELECTING AND CLICKING YOUR ACCEPTANCE AS INDICATED, YOU ACKNOWLEDGE AND CONFIRM THAT YOU HAVE READ, AND UNDERSTOOD, AND CONSENT TO BE BOUND BY ALL OF THE TERMS, CONDITIONS TOGETHER WITH ALL ATTACHMENTS, JUST AS IF YOU HAVE SIGNED THIS CONTRACT. THIS CONTRACT IMPOSES CERTAIN NOTICE REQUIREMENTS ON YOU AND IN DEFAULT THEREOF, THE APPLICATION OF CERTAIN MANDATORY CONSEQUENCES.
1. Hire
1.1 GBCR hereby HIRES to you the Vehicle at the Rental and all other terms as stated in the Subscription Leasing Agreement and upon the terms and subject to the conditions hereinafter appearing.
2. Commencement of Hire
2.1 The hiring of the Vehicle will commence on the date on which the Vehicle is delivered to or made available for collection by you (“the Commencement of Hire”).
2.2 GBCR will prepare a Vehicle Check Out/In Voucher for the Vehicle which will specify the precise details of the Vehicle and include in particular the odometer reading on the Vehicle. At the time of delivery or collection of the Vehicle the said Voucher will be signed by you or by a person authorized on your behalf which signature shall constitute the your acceptance of the Vehicle .
2.3 GBCR will use all reasonable endeavours to have the Vehicle available for delivery or collection on the date specified in the Schedule but GBCR shall not incur any liability whatsoever in the event of any delay howsoever
3. Subscription Fee
3.1 You will be required to become of member of ST33R and purchase a monthly subscription in order to be eligible to rent cars from GBCR. As a member purchasing a monthly subscription, you agree that you are liable to pay a monthly recurring subscription fee at the then-prevailing rate, and you remain liable for all recurring charges until you cancel your subscription in accordance with the cancellation policy set out in Clause 3.3 hereof. The monthly membership fee and any changes thereto shall be notified to you via the ST33R mobile application (“the App”).
3.2 GBCR retains the right to waive or adjust the monthly subscription fee by giving you notice via the App.
3.3 Your membership shall be automatically renewed on a monthly basis unless you give notice via the App at least one month in advance of your intention to cancel your membership. You will remain liable to pay the monthly membership fee for the final month after you have given notice. As an illustration, if your membership starts on 15th January, the monthly subscription is due for the period 15th January to 14th February, and so on. If you intend to cancel your membership, you must give notice GBCR notice on or before the 14th day of any particular month (example 14th February), and your membership will be cancelled, and your obligation to pay membership subscription ceases, on the 14th of the following month (example 14th March).
3.4 Upon cancelling your membership, and lease of Vehicle that is then ongoing shall also come to an end on the same date your membership comes to an end.
3.5 You are not entitled to be a member unless you are at least 22 years of age, and have at least one year of driving experience.
4. Rental and Deposit
4.1 You will pay to GBCR in advance the one month’s Rental (for the first one month period) as stated in the Schedule, together with a refundable Deposit of $500.
4.2 Thereafter, the lease of the Vehicle will automatically be renewed on a month to month basis, and you shall pay to GBCR the subsequent months’ Rental without prior demand by GBCR.
4.3 Time shall be of essence in respect of the payment of all sums due hereunder and you shall be deemed to have repudiated this Contract if any Rental or other payments shall remain unpaid for more than 7 days after becoming
4.4 All payments due hereunder shall be made to GBCR on such payment platforms or methods directed by GBCR.
4.5 If at any time, you do not intend to continue the lease of the Vehicle, you are required to notify GBCR 30 days prior to the date you intend to surrender the Vehicle. If you fail to give such notice, the lease of the Vehicle shall automatically be renewed one a month to month basis (“extended period”) subject to a maximum period of two years. Subject to Clause 3.4, you will be liable for Rental payments for and are bound for all the terms and conditions and obligations of the Contract for the extended period. The illustration as set out in Clause 3.3 shall apply.
4.6 The Deposit is a security deposit to secure the due performance and observance by you of the terms and conditions hereunder and shall not be deemed to be or treated as Rental or other charges, debts, liabilities or monies due or payable by you under this Contract.
4.7 GBCR shall (without prejudice to its other rights and remedies against you) be entitled at any time and without prior notice to you, to apply or use the Deposit or any part thereof in or towards discharging or satisfying wholly or in part any payment due from you or any obligation or liability of yours under this Contract. If the Deposit or any part thereof is applied or utilized by GBCR pursuant to this Clause and as long as this Contract shall continue to be in force, you shall on demand in writing by GBCR forthwith pay to GBCR any such sum so demanded to restore the deposit to its full
4.8 Subject to clause 4.5, upon the conclusion of the lease of the Vehicle, and provided that you have observed and performed all your obligations and discharged all its liabilities hereunder, GBCR shall refund any remaining balance of the deposit (without interest) to you.
4.9 Your right to lease a Vehicle is subject to your being a member of ST33R.
5. Mileage
5.1 Mileage is limited to 1,500km per month or 18,000km per year. Excess mileage would be charged at $0.20 per km at the end of the rental.
6. Use of Vehicles
6.1 You may use the Vehicle for your business, professional, social and domestic purposes. The Vehicle is not to be used, and you will not permit it to be used, for any purposes for which it is not expressly designed. Further you will not use or permit the Vehicle to be used for hire, driving tuition, towing, racing or pace making, or for competing in any rally or other form of motor sport, or for any illegal purposes whatsoever whether in Singapore or
6.2 You agree that you will not :
6.2.1 effect any mechanical or other modification to the Vehicle, make any alterations or additions, fit any towing equipment or other accessories or non-standard tyres, and any such additions alterations or modified parts which may be made (whether with or without consent) shall, at the sole election of GBCR, become part of the Vehicle and shall belong to GBCR. If GBCR shall not so elect, you are liable for the cost of making good and placing the Vehicle in the same condition it was when it was delivered to you;
6.2.2 remove or interfere with any identification marks or plates affixed to the Vehicle nor attempt or purport to do so nor permit the same;
6.2.3 deface the paintwork or bodywork of the Vehicle nor add or erect any painting, sign-writing, lettering, or advertising to or on the Vehicle or any part
7. Duties of GBCR
GBCR shall during the continuance of this Contract at its own cost:
7.1 regularly service and maintain the Vehicle (including materials, oil, grease and lubricants but excluding petrol in accordance with the manufacturer’s recommendations having regard to mileage and time intervals effect necessary repairs or replacements except where such repair or placement is necessitated by any accident or by any neglect use or vandalism or abuse of the Vehicle whether by you or while in your custody or control.
7.2 provide and pay for all tyres required to be replaced through fair wear and tear or faulty manufacture.
8. Duties of the Hirer
You shall at the commencement of and during the continuance of this Contract :
8.1 furnish originals or copies or your NRIC, Passport, driver’s licence and or any other document requested by GBCR;
8.2 pay to GBCR interest at the rate of 1% per month on all sums which from time to time may be due from you to GBCR hereunder and remain for the time being unpaid, such fee being calculated from the due date until actual payment compounded monthly and to be payable as well before any judgement obtained in respect thereof;
8.3 ensure that the Vehicle is operated properly and safely by yourself and not more than two drivers who you have notified to GBCR (subject to GBCR’s approval) and who at all times hold valid and current driving licences in the appropriate class;
8.4 subject to clause 1 hereof, pay for all petrol and lubricants (only premium grade permitted) for the proper running of the Vehicle;
8.5 indemnify GBCR against all fines, penalties and liabilities imposed on GBCR or arising in respect of any non-compliance or contravention or any transport, traffic or other law or regulation, whether or not committed by you together with any cost or expense relating thereto incurred by GBCR;
8.6 not to take or allow the Vehicle to be taken out of Penninsula Malaysia without receiving the prior written authority of GBCR and, in the event of that authority being given, only on such terms as GBCR deems fit;
8.7 bear the cost of the repair or rectification of any damage to the Vehicle resulting from negligence or improper use of the Vehicle by the you or any person permitted by you to use the Vehicle or while in your custody or control;
8.8 not to sell, assign, mortgage, let on hire or otherwise dispose of or part with possession of the Vehicle or part thereof or charge the benefit of Contract nor attempt or purport to do so;
8.9 take all necessary steps at your own expense to retain and recover possession and control of the Vehicle of which you lose possession or control;
8.10 permit GBCR or its authorized representatives at all reasonable times to enter upon the premises where the Vehicle may from time to time be garaged or parked to inspect or test the condition of the Vehicle;
8.11 notify GBCR of any change in your address and upon GBCR’s request to promptly inform GBCR of the whereabouts of the Vehicle;
8.12 in respect of the condition and maintenance of the Vehicle be solely responsible at your own cost for:
8.12.1 regularly checking and adjusting as necessary, the engine and brake fluid levels;
8.12.2 regularly cleaning the exterior, interior and upholstery of the Vehicle;
8.12.3 arranging for the regular servicing of the Vehicle by GBCR.
8.13 not use or permit the Vehicle to be used or operated in a manner contrary to any statutory provision or regulation or in any way contrary to law whether in Singapore or elsewhere.
9. Insurance
9.1 The Vehicle is insured under a comprehensive motor vehicle insurance policy. You agree to be bound by the terms of the said policy a copy of which is available for inspection at your request. You agree to protect the interest of GBCR and the insurance company in the event of accident by:
9.1.1 obtaining names and addresses of all parties involved and of witnesses;
9.1.2 not admitting liability or guilt without the prior consent of GBCR;
9.1.3 not abandoning the Vehicle without adequate provisions for safeguarding and securing the same;
9.1.4 giving detailed reports including diagrams even in cases of slight damage within 24 hours to the nearest police station;
9.1.5 notifying GBCR and/or GBCR’s insurers immediately of such accidents and submitting a duly completed Motor Accident Report Form or such other documentation as is required;
9.1.6 delivering to GBCR correspondence, writs or documents of any kind received by you or your nominated driver relating to any accident or incident involving the Vehicle while lease under this Contract;
9.1.7 comply with all requests of GBCR to provide assistance in any claim, litigation or investigation to such
10. General Liability
10.1 You shall be solely responsible for and hold GBCR indemnified and harmless against claims, demands, liabilities, losses damages, proceedings, costs (on an indemnity basis) and expenses which may be brought against or incurred by GBCR as a result of any accident or incident involving the Vehicle (other than death or personal injury resulting from the negligence of GBCR, its employees or )
10.1.1 GBCR does not hire the Vehicle subject to any condition or warranty express, implied or statutory in connection with the fitness for any purpose or age of the Vehicle and any conditions and warranties are hereby expressly excluded insofar as permitted by statute and (save for GBCR’s liability for death or personal injury caused by the negligence of GBCR, its employees or agents) GBCR will not be responsible for any liability, claim, loss or damage or expense of any kind or nature caused directly by the Vehicle or its use.
10.1.12 You shall be solely responsible for and hold GBCR fully indemnified and harmless against all claims, demands, liabilities, losses, damages, proceedings, costs (on an indemnity basis) and expenses suffered or incurred by GBCR as a result of any breach or default on your part in the discharge of your obligations under this Contract.
11. Repossession
If the Vehicle is not returned to GBCR on the due date as contained in the Schedule or if you are in breach of any of the terms of this Contract, GBCR shall be entitled to repossess the Vehicle at your expense at any time without giving you prior notice and you hereby irrevocably authorize GBCR, its employees and agents to enter into and unto any premises in which the Vehicle may be found in order to repossess the same without being liable to any actions or proceedings at your suit or any persons claiming under or through you.
12. Ownership
The Vehicle shall at all times remain the property of GBCR and you shall have no rights to the Vehicle other than as hirer and you shall not do or permit or cause to be done any matter or thing whereby the rights of GBCR in respect of the Vehicle are or may be prejudicially affected.
13. Termination
13.1 If you shall fail to pay any Rental or other sum payable under this Subscription Leasing Agreement (or under any other agreement between GBCR, subsidiary of GBCR, any holding company of GBCR or any other subsidiary of such holding company and you) within 14 days of its becoming due (whether demanded or not) or shall commit a breach of the other terms and conditions whether express implied of this Contract or shall do or allow to be done any act or thing which in the opinion of GBCR may jeopardize GBCR’s rights in the Vehicle of any part thereof, then in each and every such case you shall be deemed to have repudiated this Contract and GBCR may thereupon by notice in writing to you for all purposes forthwith terminate the hire constituted by this Contract.
13.2 You shall in the event of repossession under clause 9 or upon termination under clause 11.1 above pay to GBCR:
13.2.1 repossession fees and all expenses relating thereto that may be incurred.
13.2.2 all arrears of Rental then due and all other sums accrued due and unpaid at the date of termination, together with the late payment interest and administrative fees thereon payable under Clause 7.2 hereof; and
13.2.3 the cost of all repairs required as at the date of termination (other than those for which GBCR has assumed responsibility under this Contract);
13.2.4 compensation for the loss suffered by GBCR as a result of such termination, such loss being determined by GBCR having regard to all relevant circumstances; and
13.2.5 any other sums which are or become due to GBCR or to which GBCR is entitled by way of damages. The termination of this hire constituted by this Contract shall not affect any rights of GBCR or your liabilities subsisting at the date of
13.3 On termination of this Contract or conclusion of the lease, howsoever or whenever occasioned, you shall no longer be in possession of the Vehicle with GBCR’s consent and shallforthwith return the Vehicle (including the Vehicle’s spare wheel, tyres, tools, keys, handbook and service vouchers and accessories where fitted) to GBCR at such address as GBCR may direct or to GBCR’s representative in good order and in good working condition and at your expense and
14. GST
You shall be liable to pay GST to GBCR at the rate or rates for the time being in force.
15. Force Majeure
Although GBCR will use all reasonable endeavours to discharge its obligations under this Subscription Leasing Agreement in a prompt efficient manner, it does not accept any responsibility for any failure or delay caused by circumstances beyond its control, including any regulation or order by the relevant authorities.
16. Forbearance
No forbearance indulgence or relaxation on the part of GBCR shown or granted to you in respect of any of the provisions of this Contract shall in any way affect diminish restrict or prejudice the rights or powers of GBCR under this Contract or operate as or be deemed to be waiver of any breach by you of the terms and conditions of this Contract.
17. Notices
Any notice or demand required hereunder shall be served by sending it by post or delivery to the address of the addressee as stated herein or in any other case, to the last known address of the addressee. In proving service of any notice it shall be sufficient to prove that the envelope containing the notice was properly stamped addressed and posted. Service shall be deemed to be effective in the case of posting at noon on the second business day following the day of posting and in the case of delivery by hand, from the date of such delivery.
18. Waiver of Set Off
You hereby waive all and any future claims and rights of set off against any instalment of Rental or any payment due hereunder and agrees to pay the Rental and other amounts hereunder regardless of any equity, set off or counter-claim on your part against GBCR.
19. Governing Law
This Subscription Leasing Agreement shall be governed by and construed in accordance with the laws of Singapore. Parties irrevocably submit to the exclusive jurisdiction of the Singapore Courts
